Receive a Commercial Board Resolution Request
Route an authority document into review without making a legal determination.
A board resolution may affect who can borrow, open services, or instruct the bank, yet a commercial banker should never treat a document as automatically effective. Ask what banking action the organization is requesting, who is authorized to discuss the account, and whether the customer has received current document instructions. Then explain that the bank verifies authority through its designated review process.
The treasurer of a nonprofit brings a newly adopted resolution and asks the banker to add two officers immediately. The banker acknowledges the request and says, “We can receive the materials and have the appropriate team review authority.” She does not interpret the resolution, declare it sufficient, or disclose account information to an officer whose authority has not been confirmed.
Use approved guidance to identify the submission channel and any accompanying records. If the organization has questions about governance language, those belong with its legal counsel. The banker’s written recap should be factual: requested service action, submitting contact, documents received, and the next review point. Avoid language that says access is active until the bank confirms it.
Ask the treasurer to explain what the organization expects to happen next. This surfaces confusion between delivering a document and completing an access change. Respectful, precise intake protects both the organization and its authorized officers while giving the customer a clear route through a necessary review.
